1. Who we are
These Terms & Conditions ("Terms") govern your use of the Caregevity platform (the "Service"), operated by Kerry Dickens, a sole proprietor trading as "Caregevity" ("we", "us", or "our"). By creating an account or otherwise using the Service, you enter into a binding agreement with Kerry Dickens (Caregevity).
2. Acceptance
By accessing, registering for, or continuing to use the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
3. Eligibility & accounts
You must be of legal age in your jurisdiction to enter into a binding contract. If you are using the Service on behalf of an organization (e.g. as an HR administrator), you represent that you have authority to bind that organization to these Terms. You are responsible for keeping your account credentials confidential and for all activity under your account, and you agree to provide accurate information and keep it up to date.
4. Acceptable use
You agree not to misuse the Service. In particular, you must not:
- Use the Service for unlawful, fraudulent, or harmful purposes;
- Send spam or unsolicited communications;
- Infringe the intellectual property or privacy rights of others;
- Upload malware, attempt to probe, scan, or breach security, or scrape the Service;
- Reverse engineer, resell, or redistribute the Service or circumvent technical limits.
5. The Service
Caregevity provides a software platform to help family caregivers (adults caring for aging parents) coordinate care for aging parents and children, including tools for scheduling, family coordination, document storage, and an AI assistant. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your selected plan. We do not guarantee the Service will be uninterrupted, error-free, or meet every individual need, and to the fullest extent permitted by law we disclaim all implied warranties.

Content provided through the Service, including AI-generated output and educational resources, is for informational purposes only and is not medical, legal, financial, or other professional advice. Always consult a qualified professional for decisions affecting health, safety, or legal status.
6. AI features
Some features use generative AI. You are responsible for the prompts and content you submit and for how you use AI outputs, including verifying their accuracy before relying on them. You must not use AI features to generate illegal content, hate speech, deepfakes intended to deceive, malware, or to attempt to bypass our safeguards. We reserve the right to filter, restrict, or remove outputs and to suspend accounts that violate these rules. AI outputs may be inaccurate and are not a substitute for professional advice.
7. User content
You retain ownership of the content you upload (e.g. notes, documents, schedules). You grant us a limited, worldwide license to host, store, and process that content solely to operate and improve the Service. You are responsible for ensuring you have the rights to upload any content you submit.
8. Intellectual property
The Service, including all software, design, branding, and documentation, is owned by Caregevity or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership of the Service or our IP to you.
9. Payment, subscriptions and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing, taxes, automatic renewal, and refunds are governed by Paddle's Buyer Terms in addition to our Refund Policy.
Subscriptions renew automatically at the end of each billing period unless canceled. You can cancel at any time through your billing settings or the Paddle customer portal; cancellation stops future renewals and access continues through the end of the paid period.
10. Suspension & termination
We may suspend or terminate your access to the Service for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends. You may export your data for a reasonable period after termination, after which we may delete it in accordance with our Privacy Notice.
11. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where it cannot be excluded by law.
12. Indemnity
You agree to indemnify and hold Caregevity harmless from claims arising out of your user content, your unlawful use of the Service, or your violation of these Terms.
13. Changes to the Service or Terms
We may update the Service and these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
14. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which Caregevity is established, without regard to conflict-of-laws rules. Disputes will be resolved in the competent courts of that jurisdiction, unless required otherwise by mandatory consumer protection law.
15. Force majeure & assignment
Neither party is liable for delays or failures caused by events beyond their reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
